MyEventWiFi – Terms and Conditions of Service

These Terms and Conditions of Service (“Terms”) govern all access to and use of the MyEventWiFi website located at www.myeventwifi.com, together with any related websites, portals, dashboards, software, firmware, documentation, hardware deployments, connectivity services, technical support services, and related offerings (collectively, the “Services”).

The Services are owned and operated by MyEventWiFi (“MyEventWiFi,” “we,” “us,” or “our”).

By accessing, ordering, deploying, or using any portion of the Services, you (“Client” or “you”) acknowledge that you have read, understand, and agree to be bound by these Terms, our Privacy Policy, and any applicable proposals, statements of work, service orders, or addenda incorporated by reference (collectively, the “Agreement”). If you do not agree to these Terms, you may not access or use the Services.

The Services are offered only to individuals who are eighteen (18) years of age or older and who possess the legal authority to enter into binding agreements on behalf of themselves or the entity they represent.

1. Nature of Services; No Common Carrier Status

You expressly acknowledge and agree that:

  • MyEventWiFi is not a common carrier, public utility, internet service provider, or telecommunications carrier.

  • The Services consist of private, temporary, managed connectivity solutions provided for specific events, productions, or business operations.

  • Nothing in this Agreement shall be construed to impose upon MyEventWiFi any obligations applicable to regulated telecommunications providers, broadband utilities, or public networks.

2. Accounts, Credentials, and Authorized Access

If MyEventWiFi provides credentials, access keys, or network access of any kind:

  • You are solely responsible for maintaining their confidentiality and security.

  • You are responsible for all activity conducted through such access, whether authorized or unauthorized.

  • You must notify MyEventWiFi immediately of any suspected or actual unauthorized access or security incident.

MyEventWiFi shall not be liable for damages resulting from your failure to safeguard access credentials.

3. Lawful Use; Client Responsibilities

You agree to use the Services strictly in accordance with all applicable laws, regulations, and rules, including without limitation:

  • Federal Communications Commission (FCC) regulations

  • Federal, state, and local laws and ordinances

  • Venue policies and operational rules

  • Intellectual property, privacy, and data protection laws

You shall not use, nor permit others to use, the Services in any manner that is unlawful, abusive, disruptive, infringing, deceptive, or malicious.  Furthermore, MyEventWiFi service to be licensed and only used for the entity and its employees, subsidiaries, vendors, and/or permitted guests. 

4. Venue Authorization; Exclusivity and Interference Disputes

You acknowledge and agree that:

  • Client is solely responsible for obtaining all venue permissions, approvals, or acknowledgments required for deployment and use of the Services.

  • MyEventWiFi does not warrant or guarantee that a venue will permit, tolerate, or refrain from interfering with the Services.

  • MyEventWiFi shall not be liable for delays, suspensions, disruptions, or terminations resulting from venue actions, threats, claims of exclusivity, or interference—whether lawful or unlawful.

Any decision to proceed with Services in the face of venue objection is made entirely at Client’s risk.

5. Network Performance; Best-Effort Services

The Services are provided on a commercially reasonable, best-effort basis utilizing bonded cellular, satellite, and/or terrestrial connectivity.

You acknowledge that network performance may be affected by factors outside MyEventWiFi’s reasonable control, including but not limited to:

  • Carrier congestion or throttling

  • Radio-frequency interference

  • Weather conditions

  • Power availability or instability

  • Venue infrastructure limitations

  • Governmental or regulatory actions

No guarantees are made regarding bandwidth, latency, uptime, packet loss, or uninterrupted service unless expressly set forth in a written Service Level Agreement (“SLA”) executed by both parties.

6. FCC Compliance; Spectrum and Interference

MyEventWiFi operates in accordance with applicable FCC regulations, including Part 15 governing unlicensed spectrum.

You acknowledge and agree that:

  • Interference-free operation cannot be guaranteed.

  • Lawful interference, congestion, or spectrum contention does not constitute a breach of this Agreement.

  • Performance degradation caused by lawful third-party transmissions, regulatory limitations, or environmental conditions shall not give rise to liability.

7. Hardware Deployment; Risk Allocation

Where MyEventWiFi deploys equipment onsite, including routers, access points, antennas, satellite terminals, or related hardware (“Equipment”):

  • All Equipment remains the sole property of MyEventWiFi unless expressly agreed otherwise in writing.

  • Client assumes responsibility for safeguarding Equipment while onsite.

  • Client shall be liable for loss, theft, or damage caused by Client, attendees, venue staff, or third parties.

MyEventWiFi shall not be responsible for damage resulting from venue infrastructure, power irregularities, weather, or force majeure events.

8. Fair Use; Traffic Management

To protect network integrity and service quality, MyEventWiFi reserves the right, in its sole discretion, to monitor aggregate usage and to throttle, cap, prioritize, isolate, or suspend traffic or users engaging in excessive, abusive, or disruptive activity.

Such actions shall not constitute a breach of this Agreement and may be implemented without notice.

9. Compatibility; Client Systems

MyEventWiFi does not warrant compatibility with any specific third-party platforms, software, protocols, codecs, VPNs, or hardware configurations.

Client is solely responsible for testing and validating its workflows, applications, and systems prior to live operation.

10. User Content; Legal Responsibility

Client retains ownership of all content transmitted through the Services (“User Content”).

Client represents and warrants that:

  • It has all rights necessary to transmit such content

  • The content is lawful and non-infringing

MyEventWiFi acts solely as a passive network conduit and assumes no responsibility for User Content, including intellectual property claims, licensing disputes, or takedown demands.

11. Security Monitoring

MyEventWiFi may monitor network performance, diagnostics, and security events solely for operational, compliance, and protection purposes.

MyEventWiFi does not inspect content payloads except as required by law or necessary to protect network integrity.

12. Third-Party Providers

The Services rely on third-party carriers, ISPs, satellite providers, and infrastructure partners.

MyEventWiFi shall not be liable for service limitations, failures, or interruptions caused by third-party providers, including outages, throttling, or regulatory actions.

13. Emergency Suspension

MyEventWiFi reserves the right to immediately suspend or terminate Services, without liability or refund, if required by law enforcement, regulatory authorities, carrier directives, or safety or security concerns.

14. Fees; Payment Terms

All fees are due as set forth in the applicable agreement and are non-refundable, unless expressly stated otherwise in writing.

Client is responsible for all applicable taxes, fees, and surcharges. Failure to pay may result in immediate suspension or termination of Services.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
MYEVENTWIFI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • MYEVENTWIFI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

  • MYEVENTWIFI’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY CLIENT DURING THE THREE (3) MONTHS PRECEDING THE CLAIM.

17. Indemnification

Client agrees to indemnify and hold harmless MyEventWiFi and its officers, employees, contractors, and agents from all claims, damages, liabilities, and expenses (including attorneys’ fees) arising out of or related to Client’s use of the Services, violation of this Agreement, or violation of applicable law or third-party rights.

18. Governing Law; Arbitration

This Agreement shall be governed by the laws of the State of California, without regard to conflict-of-law principles.

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by JAMS, seated in Los Angeles County, California, conducted in English. The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.

19. Force Majeure

MyEventWiFi shall not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, carrier outages, labor disputes, power failures, or governmental actions.

20. Entire Agreement; Severability

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings.

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
